Terms of Service

These terms cover the use of Mosaic Select, a software platform operated by Olithar Inc. ("Mosaic Select", "we", "us"), by dental practices and dental groups ("you"). People who join a practice's membership plan ("members") have their agreement with that practice, not with us.

1. What Mosaic Select does

Mosaic Select provides software that lets a dental practice offer its own membership benefit plan: an enrollment page, member accounts, billing through Stripe, and a dashboard. We are a software provider. We are not a dental practice, we don't provide dental care, and we don't decide what any plan covers or costs.

2. The practice's plan is the practice's

Each practice sets its own plans, prices, included services, discounts and policies, and is responsible for them, including for complying with the laws of its state and for its agreement with each member. A membership benefit plan is an agreement between a member and their dental practice. It is not dental insurance.

3. Payments

Members pay the practice directly. Each practice has its own Stripe account, set up through Mosaic Select, and is subject to Stripe's own terms (the Stripe Connected Account Agreement). The practice is the merchant for its members' payments and is responsible for refunds, disputes and chargebacks on them. Stripe deposits payments to the practice's bank account.

4. Our fees

You pay the fees agreed when you sign up: a monthly platform fee per practice and a per-member fee, which may have a monthly cap and a free launch window. The per-member fee is taken from each member payment as it is made; the monthly platform fee is billed to the bank account or card you add. We give at least 30 days' notice before changing your fees.

5. Your account

You're responsible for the people you give access to, for keeping sign-in links and accounts secure, and for the accuracy of the information you enter. Tell us promptly at hello@mosaic-select.com if you think an account has been misused.

6. Member information

You control the member information you enter or that members provide through your enrollment page. We use it only to provide Mosaic Select to you, as described in our Privacy Policy, and under a business associate agreement where one is required.

7. Acceptable use

Don't use Mosaic Select to break the law, to mislead members, to send messages people didn't ask for, or to interfere with the service or other users' accounts.

8. Ending the service

You can stop using Mosaic Select at any time by telling us. Your members' existing subscriptions are in your practice's own Stripe account and remain under your control. We may suspend an account that breaks these terms or puts members at risk, and will tell you why.

9. Warranties and liability

We work to keep Mosaic Select available and accurate, but it is provided "as is". To the extent the law allows, we are not liable for indirect or consequential losses, and our total liability is limited to the fees you paid us in the 12 months before the claim.

10. Changes and governing law

We may update these terms and will post the new date here; we'll tell you about significant changes in advance. These terms are governed by the laws of the State of Utah.
